Prometheus - M&A integration

Description of the initiative

Prometheus is an M&A Acquisition (R&I - Biomatech platform / SCO perimeter) part of a partnership established between Solvay and Ginkgo Bioworks (see press release). Solvay acquires a Ginkgo (formerly Zymergen) laboratory in Cambridge, Massachusetts. This acquisition will expand Solvay’s R&I footprint in the US, provide access to new talents, and establish a sustainable growth base in synthetic biology in one the most important biotech hubs in the world, accelerating the company’s biotech development plan.

The initiative consists of the main activities listed beow:

  • Business continuity for the acquired company (post D1)- Existing Lab equipment, 14x Lab PCs and 3x employee’s PCs (currently on the 6th floor of the building).
  • Acquired business will move to the 4th floor of the building by October 2023. (Approx team size up to 15 by 2024)
  • Existing IT infra connectivity (WiFi and WAN) and security badges will be maintained by the seller until end of August. 
  • Need to evaluate IT support options for the Network connectivity & badging on 6th floor office (especially between August and until the move to 4th floor)
  • Full IT infra Integration / deployment on the 4th floor.; including:
  • LAN/WLAN
  • SD WAN
  • LAB PCs / user’s PCs
  • Application / Software / Licences / Lab PC backup (need study by LABO support)
  • LIMS, Open Labs
  •  Firewall / Security- Badging
  • Servers 
  • Printing
  • Meeting Rooms
  • Onboarding 
  • OSS tech support, etc..

As signing and closing of the deal were performed at the same date with quite no time to prepare the integration, a 2-step initiative is proposed with a full implementation not exceeding 1M€:

  • Step 1: from now till end of May to ensure business continuity with on-boarding of 3 employees, IT provisioning, data migration (AWS), LIMS license requirements and pre-study for LABO software/ network/hardware & Full IT infra Integration / deployment requirements for moving to the 4th Floor by October 2023. Budget of 65 k€ required for this step 1
  • Step 2: full project implementation, from June to Q4 2023, with relocation to the 4th floor, Integration to Solvay standards, Deploy the required applications / licenses. the budget being refined at the end of step 1 and not exceeding 1M€

This initiative supports an R&I acquisition for new BioTech division within Solvay.  Integration of this new site into Solvay standards will help to maximize Solvay's investment in this site and new technology

No TSA for this purchase.  Timing for the move to another floor within the existing building.  Project implementation must be done by October 2023.

How will we measure success?

By end of May collect and organize cost information from the strategize performed in April/May to present to the PMO for validation.  New Solvay site in Cambridge successfully moves to the new floor by October  2023 with Solvay standards in place.

An initial security audit has been performed and shared with the security team.  As per feedback from the SIP team, "The outcome of our discussion is that the SIP Tool won't be needed for this project. Joao will follow your project in order to check that Solvay standards are applied along the later".

2.3. Overall Service Delivery Management for a project

A standardised process for creating and introducing services. It may sound basic, but Service Design and Introduction should be considered at the very beginning of the project.

  • Moving through the various project stages from Envision, strategize (requirements gathering) to planning, delivering value and testing before deploying the service. 
  • Embedding service introduction activities into project delivery, with defined success criteria at each stage avoids a re-work which can negatively impact the project in terms of time, cost and quality.

Budget must be available to procure Solvay licences for the LAB PC applications by June. Procurement delays can cause legal breach with license used (90 days grace period agreed by the seller). Site Facility contacts must be identified to plan the Cabling, Physical security and facilities related activities.
